As a retained user of our services, we are pleased to extend your use of Thomson Reuters services free of charge for a limited period of 60 days (the "Retained Use"). The terms and conditions which will govern this Retained Use are set out below and will apply to any Retained Use of a Thomson Reuters service unless we tell you otherwise. You will be bound by these conditions on your first Retained Use of a Thomson Reuters service.

CONDITIONS FOR RETAINED USES OF THOMSON REUTERS SERVICES

  1. The retained use ("Retained Use") of Thomson Reuters services ("Service") is offered by Reuters Limited, a Thomson Reuters company whose registered office is at The Reuters Building, 30 South Colonnade, Canary Wharf, London E14 5EP ("we", "us" or "our" as appropriate) to you the customer (hereinafter "you" or "User" or "Customer") upon the following terms and conditions (hereinafter the "Agreement"). You agree that by clicking the "I Agree" button displayed as part of the registration process, and upon due acceptance of your registration and notification of the same by us, such acceptance being confirmed through provision of a valid login ID by us (the "Effective Date"), you shall be bound by this Agreement governing your use of the Service.

  2. The terms "we" or "us" shall mean to include (i) any entity that from time to time, directly or indirectly controls, is controlled by, or is under common control with Reuters Limited, or that is a successor (including, without limitation, by change of name, dissolution, merger, consolidation, reorganization, sale or other disposition) to any such entity or its business and assets, (ii) Thomson Reuters Corporation, Thomson Reuters PLC or any entity or entities that from time to time is / are the parent company or parent companies of any of the Thomson Reuters group of companies (each a "Thomson Reuters Parent Company") or (iii) the respective direct or indirect subsidiaries of any Thomson Reuters Parent Company. An entity will be deemed to control another entity if it has the power to direct or cause the direction of the management or policies of such entity, whether through the ownership of voting securities, by contract or otherwise; (hereinafter collectively referred to as "Affiliate"). We and our Affiliates shall collectively be referred to as the "Thomson Reuters Group".

  3. The Retained Use of the Service shall be provided to you free of any add-ons or additional features including but not limited to Information contributed by our clients or any other fee-liable data or access to the domestic news function.

  4. You may store items of Information accessed via the Service for the duration of the Retained Use. You will ensure that all stored Information is deleted when the Retained Use  ends.

  5. You shall be permitted to a) view, Manipulate and create Derived Data from Information for your individual use; b) store Information, Manipulated Information and/or Derived Data for your individual use; c) Redistribute limited extracts of Information, Manipulated Information and/or Derived Data to anyone, provided this is done in a non-systematic manner and (except for Derived Data) is attributed to us. For the purposes of this Agreement, the following capitalised words shall have the following meaning ascribed to them:

    i) "Derived Data": Information other than news which has been Manipulated to such a degree that the original cannot be recognised or traced back to us.

    ii) "Information": the information in whatever form (including, but not limited to, images, still and moving, and sound recordings) contained in the relevant Service.

    iii) "Manipulate": perform calculations on, and/or combine Information with, other data. The terms Manipulated and Manipulation are construed accordingly. You recognize that the Manipulation of Information does not reduce its value.

    iv) "Redistribute": send Information outside your Computing Environment. The terms Redistributed and Redistribution are construed accordingly.

  6. Our Service may contain a set of codes (also known as Reuters Instrument Codes) developed and maintained by the Thomson Reuters Group for defining a unique identifier for financial instruments. RICs are protected by copyrights, database rights and trademarks owned by the Thomson Reuters Group (the "RICs").

  7. Whenever we supply you with a Service containing RICs we grant you a non-exclusive, non-transferable license to use RICs for the term of the Agreement solely for the purpose of:

    a) accessing the Information;

    b) identifying Information that you are permitted to Redistribute under this Agreement provided that the inclusion of a RIC is for reference purposes (i.e. not the main method of identifying the Information) and the RICs are attributed to us by a reference to "Thomson Reuters" before or after the RICs..

  8. You will not transmit, undertake or encourage the following in relation to the Services:

    a) threatening, abusive, defamatory, illegal, obscene or otherwise objectionable material or behaviour;

    b) advertising or marketing material or spam;

    c) infringement of another's privacy or confidentiality;

    d) chain-mails, malicious software code or any attachments or graphics which may cause problems to other users of the Services;

    e) unauthorised investment advice or financial promotions; or

    f) use of false details or anything involving deception of us or other users of the Services.

  9. Services are accessed via passwords which we will allocate to you. You must keep your password/s confidential and not share it/them nor allow any third party to use them.

  10. You shall be responsible for providing and maintaining the means by which to access the Service through any applicable URL as notified to you, which may include, but is not limited to, a personal computer, modem and telephone or other access line (hereinafter referred to as your "Computing Environment").

  11. You assume all risks associated with the use and storage of Information on your Computing Environment through which you will gain access to the Service.

  12. You must at all times take appropriate measures to secure your Computing Environment. You agree in relation to such measures to implement security controls to protect the Services and which are dependent upon your Computing Environment, against the following threats:

    a) malicious software and other invasive programs;

    b) unauthorised physical and logical access to your computing environments;

    c) exploitation of vulnerabilities within operating system and ancillary application software; and

    d)inappropriate use of security and network management tools.

  13. Neither we, nor the Thomson Reuters Group, will be responsible for Service outages resulting from device misconfiguration or security weaknesses within your Computing Environment.

  14. You agree to cooperate with our reasonable security investigations and always to promptly notify us whenever you learn or suspect that the security of any Service has been or might be affected.

  15. Some Services operate using digital certificates or digital signatures issued by the Thomson Reuters Group under the terms of a Certificate Policy, the current version of which can be found at https://thomsonreuters.com. You agree in relation to such Services to be bound by digital signatures created using the private key associated with any digital certificate issued to you and your users in accordance with the relevant Certificate Policy and any timestamp in the Services.

  16. The Thomson Reuters Group collects Usage Data. The term "Usage Data" shall mean and include information about the way you use our Services, including, but not limited to, data relating to activity on our networks such as times of sessions, generic types and volumes of data accessed, details of sender and recipients of messages, message subject headers, details of software downloaded from our Services and clickstreams. You agree that we may use software tools such as cookies to do this.

  17. By using our Services you consent to us retaining and processing Usage Data for the purposes of support, to detect and prevent breaches of our network security, the law or our contract terms, and for other activities related to the administration, management and improvement of our Services.

  18. In addition, we may use this Usage Data to customise, obtain feedback on and/or, subject to your consent, market our services, in accordance with our data protection/ privacy policy set out in the privacy footer at www.thomsonreuters.com and/or in a data protection or privacy notice provided to as part of any Service. Except where the law requires us to retain it for longer, we may retain and use such Usage Data for a reasonable period after it was generated.

  19. You acknowledge that the Thomson Reuters Group processes information about individuals the Thomson Reuters Group deals with in its day-to-day business for the purposes set out above and in the privacy notices and footers referred to above. You agree, as a condition of using our Services, to assist us in procuring responses from you. If you become aware that data provided by you is inaccurate, you must promptly update it online if possible, or notify us.

  20. "Support" shall mean the use of reasonable efforts to provision of (where applicable), installation, removal or relocation of the Services. The extent and requirements of Support for the Retained Use will be notified to you when the Retained Use begins. Support will be provided only by us or our nominees unless otherwise agreed in writing. So that we can provide you with Support, you will provide such assistance as we may reasonably require, where we provide Support online and/or remotely.

  21. You represent and warrant that you have implemented and plan to operate and maintain appropriate protection in relation to the security and control of access to your Computing Environment, computer viruses or other similar harmful or inappropriate materials, devices, information or data.

  22. You agree that we will not be liable in any way to you in the event of failure of or damage or destruction to your Computing Environment, data or records or any part thereof, or for delays, losses, errors or omissions resulting from the failure or mismanagement of any telecommunications or computer equipment or software.

  23. You will not transmit to or in any way, whether directly or indirectly, expose us, any of our Affiliates or our Service to any computer virus or other similarly harmful or inappropriate material or device.

  24. We reserve the right to suspend the operation of the Service or any part or sections of it at any time and no claims may be entertained against us in connection thereto.

  25. You understand that while the Internet and the World Wide Web are generally reliable, technical problems or other conditions may delay or prevent you from accessing the Service.

  26. We shall not be liable, and you agree not to hold or seek to hold us or any of our agents or service providers liable, for any technical problems, system failures and malfunctions, communication line failures, equipment or software failures or malfunctions, system access issues, system capacity issues, high Internet traffic demand, security breaches and unauthorized access, and other similar computer problems and defects.

  27. We do not represent, warrant or guarantee that you will be able to access or use the Service at times or locations of your choosing, or that we will have adequate capacity for the Service as a whole or in any geographic location.

  28. Without limiting the foregoing we will not be responsible for an impossibility to provide access to the Service due to failures in the operation of informational systems caused by technical faults, which are beyond our control.

  29. You will not acquire any intellectual property rights in the Services and you will not remove, conceal or alter any copyright or other proprietary notices incorporated in the Services.

  30. You may use any software contained in the Services for the purposes of the Retained Use, but you will not sub-license, assign, copy, modify, merge, distribute, transfer, decompile or reverse engineer the said software.

  31. Except as permitted by law, (a) neither we nor any third party providers will be held liable for any loss or damage in connection with the provision of or failure to provide the Services and (b) any express or implied conditions or warranties (including those as to satisfactory quality or fitness for a particular purpose) are excluded.

  32. The Retained Use of the Service is offered free of cost and unless we tell you otherwise, the Retained Use  will last for sixty (60) days from the date of execution of this Agreement between you and us.

  33. Each Retained Use of a Service is personal to you and any rights or obligations contained in these conditions may not be transferred to anyone else.

  34. Any personal information, including without limitation your name, age, address (including postcode), telephone number, previous occupation, email address and any other personal information required in order to grant you access to the Retained Use  will be used solely by us and as set out in these Terms and Conditions and will not be disclosed to any third party, except for the purpose of fulfilling provision of the Service to you. You warrant that any personal information provided to us for the purposes of this Retained Use shall be accurate and up to date. In the event any such personal information is found to be inaccurate, we reserve the right to end the Retained Use immediately upon notice of the same to you.

  35. In the event of any breach by you of the terms of this Retained Use, we reserve the right to end the Retained Use immediately upon notice of the same to you.

  36. This Retained Use is being provided on the condition that you do not hold any form of employment or other office of profit at the time of the Effective Date and anytime throughout the Retained Use period. In the event you take up any form of employment or other office of profit during the term of this Retained Use, we reserve the right to end this Retained Use immediately upon notice to you.
